Introduction

This Public Offer ("Agreement") is made between you and Sole Proprietor Oleksandra Ihorivna Telizhenko, registered under the laws of Ukraine with Tax Identification Number 3673401686 and registered address at: 63202, Ukraine, Kharkiv Region, Nova Vodolaha, building 6 ("Provider") for the provision of services to you.

Upon your acceptance, this Agreement will become a legally binding agreement between you and the Provider. This Agreement governs your use of the Ordage Service, available at https://ordage.com ("Website"). You may not access the Website if you do not agree to this Agreement.

1. Status of the Agreement and Its Acceptance

1.1. This Public Offer is addressed to all individuals and legal entities who wish to use the services specified below and have the technical capability to access such services.

1.2. Creating an account on the website https://ordage.com constitutes full and unconditional acceptance (consent) of all the terms of this Public Offer, and the Agreement is considered concluded from the moment you create your account on the Website https://ordage.com.

1.3. The laws of Ukraine govern this Agreement and your use of the Website.

2. Services

2.1. To begin using the Services, you must create an Account. To create an account, you need to provide us with your email address and phone number. You will also need to authenticate through your Google Account.

2.2. When creating an account, you are not required to provide us with any official information about the legal entity for which you are creating the Account. However, by opening an Account on behalf of a legal entity, you represent and warrant that you are a duly authorized representative of the entity and have the authority to do so.

2.3. Upon accepting this Offer, you may access the Services (inventory and production accounting tool) on the Website under the terms set forth in this Offer and on other pages of the Website.

2.5. The Services available to you for inventory and production accounting include, but are not limited to:

2.5.1. Providing the capability to create accounts for inventory and production management within the system.

2.5.2. Managing access levels for other users, including granting or restricting access rights to various features and data.

2.5.3. Enabling data import from spreadsheets to facilitate the convenient creation and updating of user accounts in the system.

2.5.4. Entering and accounting for income, expenses, and transfer transactions within the accounting system.

2.5.5. Entering and tracking information on accounts payable and receivable within the accounting system.

2.5.6. Integrating with the financial accounting service Finmap, providing users with access to this service's functionality through their own accounts. Connection to this integration is only available to the account owner, enabling the exchange of financial data between both services.

2.6. The exact scope of Services provided will be available on the Website’s subscription plans page.

2.7. The Provider offers you Services through the Website in accordance with one of the subscription plans you select. The Provider reserves the right to change the content and price of any subscription plan at any time, with changes applicable to you starting from the next billing period.

2.8. The Services are not advisory in nature. The Company is not responsible for the outcomes of your use of the Services.

3. Free Trial

3.1. Upon opening an account, you will gain access to certain Services for free for a period of 7 days.
3.2. The Company may modify the list of Services available during the free trial period

4. Payment for Services

4.1. Following the free trial period, the Services are provided on a paid basis. The Provider will not issue invoices for the Services.

4.2. Services are provided on a subscription basis. This means you must prepay in full (100%) according to the subscription plan you select.

4.3. The subscription plans available on the Website are part of this Offer. However, they may be unilaterally modified by the Provider at any time by posting updated information on the Website. We will notify you of any such change by publishing a notice on the Website or sending you an email, if necessary.

4.4. Once a subscription plan is modified, these changes will take effect from the next billing period.

4.5. A subscription is considered active upon payment. The first subscription payment initiates the billing period you select at the time of subscribing (1 month, 6 months, or 1 year).

4.6. After the billing period ends, the subscription automatically renews for the next billing period, which will be the same length as the previous one. You may disable auto-renewal in your account.

4.7. If the Provider is unable to charge you for your subscription, your access to the Services will be temporarily suspended. Your access will be restored as soon as you pay for the Services.

4.8. You can cancel your subscription to the Services by disabling auto-renewal in your account. In this case, you will have access to the Services until the end of the current billing period.

4.9. The Provider does not refund the unused portion of the subscription.

4.10. Refunds will only be issued in the event of a duplicate charge for the same billing period due to a technical error. To receive a refund, please contact us at moc.egadro%40ofni within 14 days of the duplicate charge. No other refunds will be issued.

4.11. Payments for the Services are made using the payment methods available on the Website. Payments are processed through a third-party payment provider. This means we do not collect or process your payment information.

5. Technical Support

If you have questions regarding the functionality of the Website or the use of the Services, you may submit a request on the Website by filling out the inquiry form. To do this, you will need to provide your name, phone number, and email address. This information is necessary to contact you with a response to your inquiry and to determine the appropriate solution.

Additionally, if you require assistance while using the Website or Services, you can reach out to our customer support team through the chat window on the Website. In both cases, we may collect additional information that you voluntarily provide to us via the message text box. If it contains any personal data, we will process it appropriately as outlined below.

Furthermore, we may use the information collected to correct and improve the Website and to analyze the effectiveness of our marketing and product efforts, including through the creation of request statistics. The legal basis for this is the performance of the contract (offer) between you and us, as well as our legitimate interest in enhancing the Website.

6.6.2. Issues arising from user actions that violate service usage rules may be declined.

6.7. Tracking and Reporting

6.7.2. Reports on user support activities are generated and analyzed to improve the support process continuously.

6.8. Types of Support
6.8.1. User support is provided through the following communication channels:

6.8.2. Phone calls and video consultations are available by appointment and may be provided only once within a 30-day period for each user.
6.8.3. These limitations help effectively manage support time and resources, ensuring high-quality assistance for users.

7. Поведінка користувача

7.1. By using the Website and Services, you agree not to: 7.1.1. Violate, or assist others in violating, the agreement between us or applicable laws;
7.1.2. Infringe on the intellectual property rights of any party;
7.1.3. Use the Website in any way that could damage, disable, or overload it, including, but not limited to, uploading or otherwise using malicious software on the Website;
7.1.4. Perform DoS attacks, interfere with, or disrupt any network, equipment, or server connected to the Website or used to provide access to it;
7.1.5. Attempt to gain unauthorized access to the Website, computer systems, or networks connected to the Website, or retrieve data not intended for you;
7.1.6. Impersonate another user, person, or entity, or engage in fraudulent, false, deceptive, or misleading behavior;
7.1.7. Violate any applicable laws when using the Website.

7.2. By granting access to sub-accounts within your Account to other individuals, you are responsible for ensuring they do not violate the agreement between us or applicable laws.

Website Functionality
Through the Website, you can access tools for goods and production accounting. We will store and process the following categories of information, which may contain personal data:

Goods and financial transactions that you create and manage on the Website;
Counterparties, such as clients, investors, debtors, creditors, suppliers, contractors, owners, etc.;
Employee data, including employee names, etc.;
Projects, including links to contracts or responsible managers;
Imported data from Excel, Finmap, or other systems;
Data is obtained through integration via API with Finmap, Customer Relationship Management (CRM) systems, or other systems.
The legal basis for this is fulfilling the Privacy Policy agreement between you and the Provider (GDPR, 6.1.b).

The retention period aligns with the account data.

8. Liability

8.1. Breach of our agreement will result in liability unless otherwise stated herein.

8.2. To the extent permitted by applicable law, the Provider is not responsible for:
8.2.1. The accuracy or completeness of the Website or its Content (as defined below);
8.2.2. The accuracy, completeness, or content of any websites linked to the Website (through hyperlinks, banner ads, or otherwise);
8.2.3. Property damage of any kind related to the use of the Site;
8.2.4. The conduct of third parties;
8.2.5. Any unauthorized access or use of the Provider's servers and/or any Content, personal information, or other information and data stored, unless such unauthorized access occurred directly due to the Company’s conduct;
8.2.6. Any interruption or termination of access to the Website;
8.2.7. Any malicious software that may be transmitted to or from the Website or any third-party websites;
8.2.8. Any losses or damages of any kind incurred as a result of your use of the Website or Services;
8.2.9. Other risks associated with using online platforms and websites.

8.3. To the extent permitted by applicable law, you agree to defend, indemnify, and hold the Provider harmless from all claims, damages, losses, and expenses (including attorney fees) arising from:
8.3.1. Your use of the Website and Services;
8.3.2. The Content you use, distribute, or store;
8.3.3. Your breach of the agreement between us and applicable laws.

9. Force Majeure

9.1. In the event of any force majeure circumstances (i.e., extraordinary or unavoidable events) that occur and remain beyond the control of a party and that the party could not foresee or prevent for objective reasons, if such circumstances hinder the party from properly fulfilling its obligations, the time for fulfilling such obligations is extended for the duration of such circumstances.

9.2. "Force majeure circumstances" include wars and other military actions, earthquakes, floods, and other natural disasters, the enactment of laws and regulations by state and local authorities, epidemics and pandemics, failures in power supply or communication systems, and other circumstances that hinder the parties from properly fulfilling their obligations under this agreement.

10. Website, Sales, and Marketing

On our Website, the following data collection activities are conducted:
- Visitor Log Collection: We collect visitor logs (device information, browser, IP address) to prevent fraud and manage user sessions. This information have stored for 6 months since your last visit. The applicable legal basis is our legitimate interests.

11.2. The Privacy Policy is an integral part of this agreement. Please ensure that you have read it.
11.3. Any information you provide when creating an account for a legal entity and entering any records into it is confidential. We do not request any official information about the legal entity for which you create a sub-account. You may choose any name for each sub-account, warehouse, or product.
11.4. Although the Provider cannot guarantee complete security of the information you provide while creating and using a sub-account for a legal entity, we take all possible measures to ensure its security. Specifically, we use 256-bit SSL encryption and store data using secure cloud service providers.

12. Dispute Resolution

12.1. You and the Provider will attempt to resolve any disputes through negotiations.

12.3. If we cannot resolve the dispute within 30 days from the start of negotiations, it will be settled in the courts of Ukraine in accordance with the applicable laws of Ukraine.

13. Term of this Agreement and Termination

13.1. This agreement comes into effect upon your acceptance of the Offer.13.2. After creating an Account, the legal agreement presented in this Offer is deemed to be executed "as is" and will remain in effect until (i) you do not have an active Account or (ii) after its deletion, until all obligations under the agreement between us are fulfilled.13.3. You may terminate this agreement by deleting your account.13.4. The Company may terminate this agreement by notifying you on the Website or via email at any time.

14. Final Provisions

14.1. The Provider may change the terms of this Offer at any time. In this case, your continued use of the Website and Services will signify your acceptance of the new terms of the Offer and the new agreement between us. We will notify you of significant changes by posting a notice on the Website or sending you an email (if necessary).
14.2. If any issues are not addressed by this agreement, they will be resolved in accordance with the applicable legislation of Ukraine.
14.3. This Offer, Privacy Notice, Newsletter Consent, Support Policy, and any other notices and disclaimers on the Website constitute the entire agreement between you and the Provider regarding your use of the Services.
